Perkly

Terms of service

The agreement between Perkly and the business using it — what we each do, what we each owe, and what happens when it ends.

Last updated: 11 September 2026

1. Who these terms bind

These terms are the agreement between Perkly, an independent not-for-profit project that is not yet registered as a company ("Perkly", "we") and the business that opens an account ("you"). They apply from the moment you create an account and for as long as you have one.

They do not bind your customers. Someone holding a stamp card has no agreement with Perkly — their relationship is with you, and what we do with their data is set out in the privacy notice, not here.

2. What Perkly is

Perkly issues digital passes — loyalty stamp cards, discounts, gift cards and membership passes — that live in Apple Wallet and Google Wallet. You design a pass, hand it out from a printed QR code or a personal link, and your staff scan it at the counter.

We provide the platform. What the pass offers, who gets one, and whether you honour it is entirely yours.

3. Your account and your staff

  • You must give accurate details when you register, and keep them current.
  • You are responsible for everything done under your account, including by your staff.
  • Staff you invite hold one of three roles — owner, employee or cashier — and you decide who holds which. A cashier can scan; an employee can also issue passes and see customers; an owner can do everything, including reading full contact details.
  • Keep credentials to yourself. Two-factor authentication is available on every account and we recommend it for owners.
  • Tell us promptly if you think an account has been compromised.

4. Plans, fees and billing

Perkly is free to use. It is run as a not-for-profit project, and there is no charge for an account, for the passes you issue, or for the notifications you send. If that ever changes we will tell you in writing at least 30 days before the first charge, and no account is ever charged without you accepting the new terms first.

There is nothing to refund: the service is free of charge. If Perkly ever does start charging, these terms will be updated before the first invoice and you will have to accept them.

5. Your customers, your passes

This is the section that matters most, so it is stated plainly: the relationship with the people holding your passes is yours, not ours.

WhatWhose responsibility
What a pass promises, and honouring itYours. If a stamp card says "10th coffee free", that is your offer to keep
The lawful basis for contacting a holderYours. You collect the phone number or email; you need the right to message it
The content of any message pushed to a passYours. We deliver what you write
Gift-card balances and any money they representYours. Perkly records a balance; it does not hold funds
Delivering the pass to the wallet and keeping it updatedOurs
Keeping your data separate from every other businessOurs
A gift card is a promise you have already been paid for. Perkly is not a payment service, holds no money, and issues no electronic money — cancelling a gift card in Perkly does not refund anybody, and settling with a holder is between you and them.

6. Acceptable use

Do not use Perkly to:

  • send messages to people who have not agreed to hear from you;
  • offer anything you are not licensed to offer, or that is unlawful to sell where you trade;
  • impersonate another business, or design a pass likely to be mistaken for one;
  • work around the platform’s limits — the one-broadcast-per-day cooldown, single-use pass links, or the role restrictions on your own staff;
  • probe, scrape or overload the service, or attempt to reach another business’s data.

The QR code that hands out a stamp card is public by design: anyone standing in your shop can scan it and get one. That is the intended behaviour, and choosing where to display it is your call. Passes that carry value — gift cards, memberships, discounts — are issued to a named person on a link that works once.

7. Apple Wallet and Google Wallet

A Perkly pass is delivered through Apple and Google, and lives inside software they control. We depend on their services, their rules and their approval, and none of that is ours to promise.

If either changes its platform, its terms or its pass format, some of what Perkly does may have to change with it. We will tell you when that affects you, but we cannot be liable for a decision one of those companies makes.

8. Availability and support

We do not promise a particular uptime. Perkly runs on managed infrastructure and we keep it up as well as we reasonably can, but it is free: there is no service-level guarantee and no credit for downtime. Passes already in a customer’s wallet keep showing their last known state even while Perkly is unreachable, and scanning resumes when it comes back.

Support is by email at support@perkly.md and is best-effort: we aim to answer within two working days, and a problem that stops passes working or blocks sign-in comes first. There is no phone line and no on-call rota.

We may take the service down for maintenance. Where the work is planned and will interrupt you, we will give notice.

9. Data

For the data about your pass holders, you are the controller and Perkly is the processor: we hold and move it on your instructions and do not use it for our own purposes. For your own account and staff data, we are the controller. The privacy notice sets all of this out in full, including who else processes it and where it is held.

You keep every right in your own data. You can export it, and you can ask us to delete it when you leave — see the privacy notice for how, and for the one thing that survives.

The audit log is append-only: the database physically prevents entries from being edited or deleted, which is what makes it worth anything as a record of who scanned, stamped or cancelled what. It is also, therefore, the record we will both rely on in a dispute.

10. Who owns what

Perkly — the platform, its code and its design — stays ours. You get the right to use it while your account is open, and nothing more.

Your name, your logo, your artwork and your customer data stay yours. You grant us only the permission we need to run the service for you: to show your logo on your passes, to build pass files carrying your branding, and to hand those to Apple and Google so they reach your customers’ phones.

11. Suspension and ending the agreement

You can close your account at any time, without notice and without giving a reason. We will give you at least 30 days’ notice by email before we close an account or discontinue Perkly, so you have time to export what you need.

We may suspend an account without notice if it is being used unlawfully, if it threatens the service or another business’s data, or if fees have gone unpaid after a reminder. We will tell you why and, where the problem can be fixed, what fixing it looks like.

When an account closes, the passes issued from it stop working. That affects your customers, not just you — including anyone holding a gift card with a balance on it. Settle those before you close, because closing does not refund anyone.

12. Liability

Perkly is provided as it is. We do not promise it will suit a particular purpose, or that it will never be interrupted.

To the fullest extent the law allows, our total liability for any claim is limited to what you have paid us in the twelve months before it arose — which, while Perkly is free of charge, is nothing. We are not liable for lost profit, lost custom, or loss of data outside our control.

Nothing here limits liability that the law does not allow to be limited.

13. Changes

We may change the service, and we may change these terms. When a change materially affects you, we will tell you directly rather than relying on you to re-read this page, and the date at the top will change with it. Continuing to use Perkly after that means you accept the new terms; if you do not, you may close your account.

14. Governing law and disputes

These terms are governed by the law of the Republic of Moldova, and disputes go to the competent courts of the Republic of Moldova. If your business is in the European Union, this does not take away any protection that the mandatory law of your own country gives you.

Please raise a problem with us first. Most things are faster to fix directly than through anyone else.

15. Contact

Questions about these terms: support@perkly.md. Data protection: privacy@perkly.md.

These terms exist in Romanian, Russian and English. If the versions disagree, the Romanian version is the one that governs.
